Italian Innovative Startup: Requirements, Benefits and Setup

The startup innovativa is a special status, not a company type. An Italian company whose business is genuinely built on technological innovation can register in a dedicated section of the Companies Register and access a package of corporate, tax and employment advantages closed to ordinary companies.

Strategic overview

What the innovative startup status actually is

Italy has built one of Europe's more generous frameworks for early-stage technology businesses. The startup innovativa regime does not create a new corporate vehicle: it attaches a special status to an ordinary Italian company — most often an S.r.l. — once it is entered in the dedicated section of the Companies Register.

The trade-off is explicit. The company accepts real constraints: an innovative corporate purpose, a ceiling on production value, no distribution of profits, and continuing evidence that it still qualifies. In exchange it obtains derogations from ordinary company law, tax incentives for those who invest in it, employment flexibility and administrative simplifications.

The status is temporary by design. It exists to support the phase in which a technology business is being built, not to become a permanent regime.

How we approach it: the deciding question is never whether the founders consider the business innovative — it is whether the company can document one of the statutory tests, and keep documenting it. We assess that before registration, because a status wrongly claimed is worse than one never sought.

Eligibility

The conditions a company must satisfy

All of the general conditions must be met, and they must continue to be met for as long as the status is held. They are cumulative, not alternative.

General conditions

  • The company is newly formed, or was formed only recently — the regime applies for a limited period from incorporation.
  • It is resident in Italy, or in an EU/EEA state with a production site or branch in Italy.
  • Its exclusive or prevalent corporate purpose is the development, production and marketing of innovative goods or services of high technological value.
  • Annual production value does not exceed EUR 5 million.
  • It does not distribute, and has not distributed, profits.
  • It is not listed on a regulated market.
  • It was not formed through a merger, demerger or transfer of a business or business division.

What disqualifies a project

  • A business that is commercially new but not technologically innovative.
  • A vehicle created by reorganising an existing business.
  • A partnership or sole proprietorship, which cannot hold the status.
  • Founders who need to draw profits out of the company early.
  • An innovation claim that cannot be evidenced in the accounts or in a registration.
  • A company whose real activity has drifted away from its stated purpose.

Important: the innovative startup framework has been amended more than once since it was introduced, including on the duration of the status and the strictness of the qualifying conditions. The rules in force at the time of your incorporation should be verified before any filing is made.

The core requirement

At least one of the three innovation tests

Beyond the general conditions, the company must satisfy at least one of the following. In practice this is where most applications succeed or fail.

01

Research and development spend

R&D expenditure equal to at least 15% of the higher of the company's total costs and its production value. Certain items, such as general administration and rent, are excluded from the calculation.

02

Qualified workforce

At least one third of the workforce holding a doctorate, studying for one or engaged in research, or at least two thirds holding a master's-level degree.

03

Patent or registered software

The company owns, holds a licence to, or has filed for an industrial property right relating to its business, or holds rights to original registered software.

Evidence beats intention: each test rests on documents — accounting records identifying R&D costs, employment contracts and qualifications, or a registration certificate. Whichever route is chosen, the supporting file should be built at incorporation and kept current, because the company confirms it periodically.

Corporate vehicle

Which company forms can hold the status

The status attaches only to capital companies and cooperatives. The choice of vehicle underneath it still matters, and should be made on the same grounds as any other Italian company decision.

Form Eligible Typical use as an innovative startup
S.r.l. Yes The standard choice. Flexible, allows corporate and foreign shareholders, and benefits most from the corporate-law derogations available to innovative startups.
S.r.l.s. Yes Possible where the founders are individuals and capital is minimal, but the fixed standard bylaws sit badly with investor entry.
S.p.A. Yes For larger projects, institutional investors or structures that need share-based governance from the outset.
S.a.p.a. Yes Rare in practice, occasionally used where a founder wants unlimited-liability management control.
Cooperative Yes Where the project is genuinely mutualistic in nature.
Partnerships and sole traders No Cannot hold the status. A sole trader intending to qualify must incorporate first.
Why it is worth it

What the status gives you

The advantages fall into four groups: corporate flexibility, incentives for investors, employment tools and administrative relief.

Corporate law derogations

An innovative startup in S.r.l. form may create categories of quotas with different rights, including quotas without voting rights or with limited voting — arrangements otherwise unavailable to an ordinary S.r.l.

Investor incentives

Individuals and companies investing in the share capital of a qualifying innovative startup may benefit from tax relief on their investment, subject to holding-period and other conditions.

Work for equity

Quotas, shares and financial instruments granted to directors, employees and certain service providers benefit from favourable tax treatment, making equity compensation genuinely usable.

Administrative relief

Exemptions from certain registration duties and annual chamber-of-commerce charges reduce the fixed cost of maintaining the company in its early years.

Relief from loss rules

The regime softens the ordinary company-law consequences of losses that reduce capital, giving a young company breathing room before it is forced to recapitalise or wind up.

Shell-company rules disapplied

An innovative startup is not treated as a dormant or systematically loss-making company under the rules that penalise those positions, which matters for a business with no revenue yet.

Access to credit guarantees

Simplified and preferential access to the public guarantee fund for SMEs improves the prospect of obtaining bank finance without personal security.

Employment flexibility

The regime allows more flexible use of fixed-term contracts and variable, result-linked remuneration than ordinary employment rules would permit.

Visibility and immigration routes

The status supports dedicated immigration pathways for non-EU founders, and the public register itself is a credibility signal with investors, accelerators and public buyers.

Note on the incentives: the rates, ceilings and conditions of the tax relief available to investors, as well as the state-aid framework they sit within, are set by legislation that changes. Any investment structured around them should be checked against the rules in force at the time.

Procedure

How to set up an Italian innovative startup

Two things happen: an ordinary company is incorporated, and that company is then entered in the special section of the register. Both should be designed together.

Eligibility assessment

We test the project against the general conditions and identify which of the three innovation tests it can realistically meet and evidence — R&D spend, qualified staff or an intellectual property right.

Choosing and designing the vehicle

Selection of the company form, shareholder structure, governance and, where the S.r.l. is used, the quota categories and rights that the innovative startup regime makes available.

Drafting the corporate purpose

The corporate purpose must genuinely and prevalently describe innovative, high-technology activity. This clause is examined, and a generic object is a common reason for problems later.

Tax codes and founder documentation

Italian tax codes for shareholders and directors, identification, and anti-money-laundering documentation. Non-resident founders obtain their tax code through a consulate or a local representative.

Incorporation

Execution of the deed of incorporation and bylaws, payment of the share capital and registration of the company in the ordinary section of the Companies Register.

Registration in the special section

Filing of the application and the self-certification of the qualifying requirements with the competent Chamber of Commerce, together with the information published on the company's profile.

Operational set-up

VAT number, certified email, digital signature, accounting and payroll onboarding, and the internal record-keeping that will support the innovation test chosen.

Investment and equity documentation

Where investors or key people are coming in, preparation of the investment documents, shareholders' arrangements and work-for-equity plans that the regime is designed to accommodate.

Timing note: the incorporation itself is fast once documents are ready. The registration in the special section depends on the completeness of the application and on the strength of the evidence supporting the innovation requirement.

For international founders

Foreign founders and foreign parent companies

The regime is open to international projects, provided the Italian connection is real.

Foreign shareholders

Foreign individuals and, where the vehicle is an S.r.l. or S.p.A., foreign companies may hold the equity, subject to identification, tax codes and KYC. The S.r.l.s. route is closed to corporate shareholders.

EU and EEA companies

A company resident elsewhere in the EU or EEA can qualify, provided it maintains a production site or branch in Italy. That establishment must be genuine, not nominal.

Remote incorporation

Where founders cannot travel, the deed can generally be executed through a notarised and, where required, apostilled power of attorney, translated into Italian.

Non-EU founders and visas

Dedicated immigration routes exist for non-EU nationals establishing an innovative startup in Italy. The corporate and immigration workstreams should be sequenced together.

Intellectual property location

Where the patent or software route is used, ownership or licensing of the right must sit with the Italian company in a way that stands up to scrutiny, which usually needs group IP arrangements.

Group structuring

Foreign groups spinning out an Italian technology entity should check that the vehicle is not created by a transfer of an existing business, which would disqualify it.

After registration

Keeping the status, and losing it

Registration is not a one-off achievement. The status has to be confirmed and can be lost, in some cases automatically.

Ongoing obligations

  • Periodic confirmation to the Companies Register that the requirements are still met.
  • Keeping the published company profile and information up to date.
  • Accounting records that isolate and evidence R&D costs, where that test is used.
  • Employment records evidencing qualifications, where the staff test is used.
  • Maintenance and renewal of the intellectual property right, where that test is used.
  • Ordinary company obligations: financial statements, tax returns, VAT and register filings.

What ends the status

  • Expiry of the maximum period for which the status may be held.
  • Loss of any of the general conditions, including the production-value ceiling.
  • Distribution of profits.
  • Failure to continue meeting any of the three innovation tests.
  • Listing on a regulated market.
  • Failure to file the periodic confirmation, which can lead to removal from the section.

Plan the exit from the regime: when the status ends, the company continues as an ordinary S.r.l. or S.p.A. and the derogations fall away. Bylaws drafted around the startup derogations, and any equity plans built on them, should be reviewed before that point rather than after.

Risk management

Common pitfalls

The regime is generous, which is precisely why it is scrutinised.

Innovation asserted, not evidenced

Founders self-certify a requirement they cannot document. The status may then be challenged, with the benefits — including investor relief already claimed — put in question.

A generic corporate purpose

A broad object copied from a template does not describe prevalently innovative activity, and undermines the whole basis of the registration.

R&D costs not separated

Where the 15% test is used, the accounts must let the ratio be calculated. Costs booked without that discipline make the test impossible to prove after the fact.

Dividends taken by mistake

Any distribution of profits ends the status. Founders drawing money out of the company must do so through properly structured remuneration instead.

Choosing the S.r.l.s. by default

The simplified form saves money at incorporation but blocks corporate shareholders and tailored bylaws — exactly what an investable startup needs.

Investors let down by paperwork

Tax relief for investors depends on conditions being satisfied and documented at the right time. Late or incomplete documentation costs the investor, and the relationship.

FAQ

Italian innovative startup: frequently asked questions

Preliminary answers for founders and investors assessing the regime.

What is an Italian innovative startup?

It is a special status granted to an Italian capital company or cooperative whose business is centred on the development, production and marketing of innovative goods or services of high technological value. Qualifying companies are entered in a dedicated section of the Companies Register and access corporate, tax and employment advantages.

Is it a separate type of company?

No. The company is an ordinary S.r.l., S.p.A., S.a.p.a. or cooperative. The innovative startup status is layered on top of it and is temporary; when it ends, the company continues in its ordinary form.

What are the main requirements?

The company must be recently formed, resident in Italy or in the EU/EEA with an establishment in Italy, have an innovative and prevalently technological corporate purpose, stay below EUR 5 million of production value, not distribute profits, not be listed, and not have been created through a merger, demerger or transfer of a business. It must also satisfy at least one of the three innovation tests.

What are the three innovation tests?

Research and development spending of at least 15% of the higher of total costs and production value; a workforce of which at least one third holds or is pursuing a doctorate or is engaged in research, or at least two thirds hold a master's-level degree; or ownership, licence or filing of an industrial property right or rights to original registered software relating to the business. Only one has to be met.

Can the company pay dividends?

No. Distributing profits ends the status. Founders who need to take remuneration from the company should do so through properly structured employment or directors' compensation instead.

How long does the status last?

It applies for a limited period from incorporation. That period has been changed by successive reforms, together with the conditions for extending it, so the term currently in force should be confirmed before you plan around it.

Can a foreign founder or a foreign company be involved?

Yes. Foreign individuals may be shareholders and directors, and foreign companies may hold equity where the vehicle is an S.r.l. or S.p.A. A company resident elsewhere in the EU or EEA can itself qualify, provided it has a genuine production site or branch in Italy.

What tax benefits are available to investors?

Investors in the share capital of a qualifying innovative startup may claim tax relief on their investment, subject to holding-period and other conditions and to the applicable state-aid framework. The rates and ceilings are set by legislation that changes, so they should be verified for the year of investment.

Can a sole trader become an innovative startup?

No. The status is reserved to capital companies and cooperatives. A sole trader who wants to qualify must incorporate a company first and meet the requirements from the outset.

Can an existing business convert into an innovative startup?

An existing company may qualify if it still falls within the permitted period from incorporation and satisfies all the conditions. What is excluded is a company created through a merger, demerger or transfer of a business or business division, which cannot hold the status.

What happens when the status ends?

The company is removed from the special section and continues as an ordinary company. The derogations and benefits cease. Bylaws and equity plans built on the regime should be reviewed before that moment, not after.

What should be prepared before requesting a quote?

A description of the technology and the business model, the founders and their residence, the intended capital, whether investors are expected, any patent or software already registered, the planned R&D spending, and the qualifications of the people you intend to hire.
